Terms of Service

Asetavo is an asset tracking and tagging platform operated by GeoMine Business Analytics LLC, a Wyoming limited liability company ("Asetavo", "we", "us"). These Terms of Service ("Terms") govern your access to and use of the Asetavo websites, web application, mobile applications, APIs and related services (together, the "Service").

1. Acceptance

By creating an account, accessing or using the Service, you agree to these Terms and to our Privacy Policy and Acceptable Use Policy, which are incorporated by reference. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Service.

2. Accounts

You must provide accurate information when you register and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us promptly at security@asetavo.com if you suspect any unauthorized use. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. Workspace administrators are responsible for the users they invite and the permissions they grant.

3. Subscriptions, trials & billing

Our Subscription & Refund Policy is part of these Terms and sets out the details. In summary:

• Plans. The Starter plan is free. Paid plans are billed in advance in US dollars, monthly or yearly, as described on the Pricing page and confirmed at checkout or in your invoice. You authorize us and our payment processor (Stripe) to charge your chosen payment method for all fees due.
• Automatic renewal. Paid plans renew automatically for the same period until you cancel.
• Free trial. New workspaces get a 14-day free trial of the Business plan without a payment method. If you don't choose a paid plan, the workspace moves to the free Starter plan when the trial ends; nothing is deleted.
• Price changes. We may change prices with at least 30 days' notice before the new price applies at your next renewal. You can cancel before then if you don't accept the change.
• Taxes. Prices exclude taxes. Where required, we add sales tax, VAT or GST at checkout based on your billing address. Business customers can provide a VAT or GST number so the reverse charge applies where the law allows. You are responsible for taxes we are not required to collect.
• Failed payments. If a payment fails you have a 7-day grace period to update your payment method. After that the workspace moves to the free Starter plan; your data is kept, and paying restores your plan.
• Cancellation and refunds. You can cancel at any time; your plan continues to the end of the period you paid for. Monthly fees are not refunded for partial periods. Yearly plans cancelled within 30 days of purchase can be refunded pro rata. Otherwise, except where required by law, fees are non-refundable.

4. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy. We may suspend or limit access to protect the Service, other customers, or comply with law, and will make reasonable efforts to notify you where appropriate.

5. Customer data & ownership

As between you and us, you own all data, content and records you or your users submit to the Service ("Customer Data"). You grant us a worldwide, limited license to host, process and transmit Customer Data solely to provide, secure, support and improve the Service, and as instructed by you. Where we process personal data on your behalf, our Data Processing Addendum applies. You are responsible for the accuracy and legality of Customer Data and for having the rights necessary to submit it. You may export your data at any time using the Service's export tools or API.

6. Intellectual property

The Service, including its software, design, content, trademarks and underlying technology, is and remains the property of Asetavo and its licensors. Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes. You may not copy, modify, resell, reverse-engineer or create derivative works of the Service except as permitted by law. Any feedback you provide may be used by us without restriction.

7. Tags/hardware purchases

Physical tags, labels, readers and other hardware ordered through the Tags & Hardware store are sold subject to separate order confirmations covering pricing, availability, shipping, warranty and returns. Title and risk of loss for hardware pass to you on delivery. Hardware warranties, where offered, are provided by the manufacturer or as stated in your order. Software subscriptions and hardware purchases are separate; cancelling one does not cancel the other.

8. Warranties & disclaimers

We provide the Service with reasonable skill and care and will use commercially reasonable efforts to keep it available (see our SLA). Except as expressly stated, the Service is provided "as is" and "as available", and we disclaim all other warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet every regulatory requirement in your jurisdiction — for example, asset valuations and depreciation outputs are tools to assist you and are not a substitute for professional accounting, tax or legal advice.

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data, arising out of or related to the Service. Our total aggregate liability for all claims relating to the Service in any 12-month period will not exceed the total fees you paid to us for the Service in that period. Nothing in these Terms limits liability that cannot be limited by law, including for fraud or death or personal injury caused by negligence.

10. Term, termination & your data

These Terms apply while you use the Service. You may cancel your subscription at any time from Plan & billing in the app; cancellation takes effect at the end of the current billing period, after which the workspace moves to the free Starter plan. Moving to a lower plan never deletes Customer Data: records above the plan's limits, or belonging to features the plan doesn't include, remain readable and exportable. We may suspend or terminate your access for material breach (including non-payment) that is not cured within a reasonable notice period, or immediately where required to protect the Service or comply with law. On termination, your right to use the Service ends. We will make Customer Data available for export for 30 days after termination, after which we may delete it in the ordinary course, subject to legal retention requirements and our DPA.

11. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws rules. The state and federal courts located in Sheridan County, Wyoming have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court. If you use the Service from another country, you remain responsible for compliance with applicable local laws, and mandatory consumer protections in your jurisdiction continue to apply.

12. Changes

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email before they take effect. The "Last updated" date at the top shows the current version. Continued use of the Service after changes take effect means you accept the updated Terms.
